Terms of Service
Last updated: October 22, 2026. These Terms of Service (the “Terms”) are an agreement between you and FiscalIQ LLC, a Texas limited liability company (“FiscalIQ,” “we,” “us”), the owner and operator of the FiscalIQ software. They apply to your use of the FiscalIQ website, apps, and related services (the “Service”).
1. Agreeing to These Terms
By creating an account or using the Service you agree to these Terms, our Disclaimers, and our Privacy Policy, which are part of this agreement. If you do not agree, do not use the Service.
2. Who May Use FiscalIQ
FiscalIQ is for accounting firms, accountants, bookkeepers, and businesses. You must be at least 18 years old. If you sign up for an organization, you confirm that you have authority to bind it to these Terms, and “you” includes that organization.
3. The Service
FiscalIQ is software. It helps you organize financial records: reading statements and files, suggesting categories, keeping a double-entry ledger, producing reports, and preparing Verified Financials and other attestations. FiscalIQ is not a CPA firm, accounting firm, tax preparer, law firm, or financial advisor, and it does not provide accounting, tax, legal, audit, or financial advice.
4. No Professional Advice
Everything the Service produces, including categorizations, suggestions, reports, alerts, attestations, and AI-assisted or memory-based suggestions, is an aid to your own judgment. It can be wrong or incomplete. Review it before you rely on it, file it, or give it to anyone else. Verified Financials are digitally signed records of the figures in your ledger at a point in time. They show that those figures have not changed since signing. They do not mean the figures are correct, and they are not an audit, review, compilation, or opinion.
5. Your Responsibilities
You are responsible for the accuracy and completeness of what you put into the Service; for reviewing every transaction, approval, and posting; for your tax filings and other filings; and for keeping the records the law requires you to keep. Responsibility for professional judgments stays with you and the professionals you engage.
6. Accounts and Security
Multi-factor authentication (MFA) is required. Keep your credentials and second factor secure and do not share them. You are responsible for all activity under your account and for the users you add, including what they can see and do. Tell us promptly at the address below if you suspect unauthorized access.
7. Your Data
You own your data. You give us a limited license to host, copy, process, and display it as needed to provide and secure the Service for you and your authorized users. If you are a firm, you handle the data of your clients under your own authority, and you promise that you have the rights, notices, and consents needed to upload it and to let us process it. Links you share, such as client portal links, give access to what they cover to anyone who has the link. Portal links expire after 30 days unless you extend them, and you can replace a link at any time.
8. Data Protection and Privacy
Our Privacy Policy explains how we handle personal data, who our sub-processors are, and your rights. To the extent we process personal data for you, we do so on your instructions and with appropriate safeguards.
9. Acceptable Use
You agree not to:
- use the Service unlawfully or to help anyone else do so;
- try to break, bypass, or probe our security, or reach another customer’s data;
- scrape, crawl, or copy the Service by automated means, or reverse engineer it;
- upload malware or anything that could harm the Service or other users;
- upload data you do not have the right to use; or
- resell or share access to the Service without our written permission.
10. Third-Party Services and Files
Bank files, statements, point-of-sale exports, and similar documents come from you or your clients. You are responsible for obtaining them lawfully and for their accuracy. Some features are optional and work with third parties on your instruction, for example bank connections through Plaid, tools that prepare payment files, and online invoice payments through Stripe. FiscalIQ is not a bank. Money moves only through your bank or payment provider under your instructions and their terms, and you must review every payment file, instruction, and invoice, including recipient and bank details, before you submit or send it. Third-party services are governed by their own terms, and we are not responsible for their acts, omissions, or availability.
11. Optional AI Features
AI features are off by default. Your firm’s owner or administrators decide whether to turn them on and for which clients. AI output can be inaccurate, incomplete, or out of date, and it is a suggestion for you to review, not a decision. How AI processing is handled is described in the Privacy Policy.
12. Fees and Billing
Paid plans are billed through Stripe as shown when you purchase. Subscriptions renew automatically for the same period until you cancel, and you can cancel at any time from Billing in the app; cancellation takes effect at the end of the current period. Fees exclude taxes, which you pay. We may change prices by giving you at least 30 days’ notice, and the new price applies from your next renewal. Fees are non-refundable except where the law requires a refund or we state otherwise in writing.
13. Free Trials and Pilots
We may offer free trials or pilots on the terms shown when they are offered. We may end or change a trial or pilot at any time. These Terms apply to it.
14. Suspension and Termination
You may stop using the Service at any time. We may suspend or end your access for breach of these Terms, non-payment, or a risk to the Service, other customers, or the law, and we will give you notice where practicable. You may request an export of your data during the term and for a reasonable period after termination (we aim for 30 days). After that we delete or de-identify customer data in the ordinary course, except where we must keep it for backups, security, legal, tax, or accounting obligations, or a legal hold. Deletion from backups happens as backups cycle out. We do not promise an automated deletion schedule. Sections that by their nature should continue will continue after termination.
15. Availability and Support
We work to keep the Service available and to provide support using commercially reasonable efforts, but we do not guarantee uptime or response times. We may perform maintenance and make changes to the Service.
16. Intellectual Property
FiscalIQ and everything in it, including the software, design, and content we provide, belong to us and our licensors. You get a limited, non-exclusive, non-transferable right to use the Service under these Terms. If you give us feedback, you allow us to use it without restriction or payment.
17. Confidentiality
We will keep your data confidential and use it only to provide the Service, except as the law requires or as you direct. You will keep confidential any non-public information about the Service that we share with you.
18. Warranty Disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT ANY OUTPUT, INCLUDING AI OUTPUT, IS ACCURATE, COMPLETE, OR SUITABLE FOR ANY PURPOSE, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) IN NO EVENT WILL WE, OUR OWNERS, EMPLOYEES, CONTRACTORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST SAVINGS, BUSINESS INTERRUPTION, TAX PENALTIES, INTEREST, REGULATORY FINES, OR PROFESSIONAL FEES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY (CONTRACT, TORT, INCLUDING NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (b) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE FEES YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some places do not allow certain limits, including for gross negligence or willful misconduct. Where that is so, these limits apply only to the fullest extent the law allows.
20. Indemnification
You will defend, indemnify, and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from your data, from your use of the Service in violation of these Terms or the law, or from your infringement of anyone’s rights.
21. Dispute Resolution
Please contact us first at the address below; most concerns can be resolved informally within 30 days. If we cannot resolve a dispute, it will be decided by binding arbitration on an individual basis, administered by a recognized arbitration provider under its rules, in Texas or by video. Either party may instead bring an individual claim in small-claims court, and either party may seek a court order to stop misuse of its intellectual property. You and we waive any right to a jury trial and to bring or join a class action or representative proceeding.
22. Changes to These Terms
We may update these Terms. We will post the new version with its updated date and tell you about material changes by email or in the app. If you keep using the Service after a change takes effect, you accept the updated Terms.
23. General Terms
These Terms, with the Disclaimers and Privacy Policy, are our entire agreement and replace earlier understandings about the Service. If part of these Terms is unenforceable, the rest stays in effect. You may not assign these Terms without our consent; we may assign them to a successor. A delay in enforcing a right is not a waiver of it. We may give notices to the email address on your account, and you may give notices to the address below. Neither side is liable for delay or failure caused by events beyond its reasonable control. These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules, and, subject to Section 21, any matter not subject to arbitration will be brought in the courts located in Texas.
24. Contact
